PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE CTOPIA APP. BY CREATING AN ACCOUNT OR ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.

1. Definitions

For the purposes of these Terms and Conditions: "Company," "we," "us," or "our" means Creatortopia, Inc., a corporation organized under the laws of the State of New York. "App" or "CTopia" means the CTopia mobile application, web application, and all related services provided by Creatortopia, Inc. "Services" means all products, features, tools, content, and services made available through the App, including creator tools, the marketplace, community features, AI-powered tools, and subscriptions. "User," "you," or "your" means any individual who accesses or uses the App, whether as a creator, consumer, buyer, seller, or visitor. "Creator" means a User who publishes content, offers services, or sells products through the App. "Content" means any text, graphics, photos, videos, audio, data, information, and other materials that Users upload, post, transmit, or otherwise make available through the Services. "User Content" means Content created, submitted, or shared by a User through the Services. "Marketplace" means the transactional feature of the App that enables Creators and consumers to buy and sell content, products, or services. "Subscription" means any paid plan that provides access to premium features of the App. "AI Features" means features of the App powered by artificial intelligence or machine learning technologies.

2. Eligibility and Account Registration

2.1 Age Requirement

The Services are intended for individuals who are at least 18 years of age. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract. We do not knowingly permit individuals under 18 to use the Services. If we discover a user is under 18, we will terminate their account immediately.

2.2 Account Creation

To access most features of the App, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You may register using a valid email address or through a supported third-party authentication provider (e.g., Google, Apple).

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@ctopia.co if you suspect any unauthorized access to your account. We will not be liable for any loss or damage resulting from your failure to protect your account credentials.

2.4 One Account Per Person

Each person may maintain only one registered account. Creating multiple accounts to circumvent restrictions, bans, or limitations is a violation of these Terms and may result in the termination of all associated accounts.

2.5 Business Accounts

If you are creating an account on behalf of a business or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and your agreement to these Terms will be treated as the agreement of that entity.

3. Permitted Use of the Services

3.1 License Grant

Subject to your compliance with these Terms, Creatortopia, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or professional use as a creator or consumer on the platform.

3.2 Acceptable Use

You agree to use the Services only for lawful purposes and in a manner consistent with all applicable laws, regulations, and these Terms. You agree that you will not: Use the Services for any illegal, fraudulent, or unauthorized purpose; Violate any applicable local, state, federal, or international law or regulation; Infringe or misappropriate the intellectual property rights of any third party; Upload, post, or transmit any Content that is defamatory, obscene, hateful, threatening, harassing, abusive, or discriminatory; Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity; Transmit or upload malicious code, viruses, spyware, or any other harmful software; Attempt to gain unauthorized access to our systems, networks, or other users' accounts; Scrape, crawl, or extract data from the App without our written permission; Circumvent, disable, or interfere with security features or access controls of the App; Use automated bots, scripts, or tools to interact with the Services in a non-permitted manner; Engage in any conduct that could damage, disable, overburden, or impair the App; Collect or harvest personal information about other users without their consent; Use the Services to send unsolicited messages (spam) to other users; Post Content that contains sexually explicit material involving minors or that constitutes child sexual abuse material (CSAM).

4. Creator Terms

4.1 Creator Eligibility

To publish content or offer services as a Creator through the Marketplace, you must complete Creator onboarding, agree to any additional Creator agreements we may require, and comply with all applicable laws governing your activities, including tax reporting obligations.

4.2 Creator Responsibility for Content

As a Creator, you are solely responsible for all User Content you publish, sell, or otherwise make available through the Services. You represent and warrant that: You own or have the necessary rights, licenses, permissions, and consents to post and use your User Content on the App; Your User Content does not violate any third-party intellectual property rights, privacy rights, publicity rights, or any other rights; Your User Content is accurate and does not contain any false or misleading information; Your User Content complies with all applicable laws, including advertising disclosure requirements (e.g., FTC guidelines for sponsored content); You will clearly disclose any sponsored content, paid partnerships, or material connections as required by applicable law and platform guidelines.

4.3 Prohibited Creator Content

Creators may not post, sell, or distribute Content that: Infringes any copyright, trademark, patent, or other intellectual property right; Contains pornographic or sexually explicit material (unless a specific adult content category is expressly enabled and verified by us); Depicts or promotes violence, self-harm, or harm to others; Constitutes hate speech targeting protected characteristics; Promotes or facilitates illegal activity; Violates any third party's privacy rights, including unauthorized use of someone's likeness; Constitutes false advertising or deceptive trade practices.

4.4 Content Moderation

We reserve the right, but have no obligation, to review, monitor, remove, or refuse any User Content at our sole discretion. We may use automated tools, human reviewers, or both to enforce our content policies. Removal of Content does not create liability on our part.

5. Marketplace Terms

5.1 Marketplace Transactions

The CTopia Marketplace enables Creators to sell content, digital products, services, and subscriptions to consumers. All transactions are between the Creator and the consumer. Creatortopia, Inc. acts as a platform intermediary and is not a party to any transaction between users.

5.2 Payments and Fees

Creators agree to pay platform fees and transaction fees as specified in our Creator Fee Schedule, which is incorporated by reference and may be updated from time to time with notice. All fees are non-refundable unless otherwise stated. Payment processing is handled by our third-party payment processor, and you agree to their terms of service.

5.3 Payouts

We will process payouts to Creator accounts in accordance with our payout schedule. We reserve the right to withhold or delay payouts in cases of suspected fraud, policy violations, chargebacks, or legal holds. Creators are responsible for all applicable taxes on their earnings through the platform.

5.4 Refunds and Disputes

Our refund policy for Marketplace purchases is as follows: digital content that has been downloaded or accessed is generally non-refundable. Consumers may request a refund within 24 hours of purchase for content that was not delivered or was materially different from its description. Refund requests should be submitted to support@ctopia.co. We reserve the right to issue refunds at our sole discretion to protect user trust.

5.5 No Endorsement

We do not endorse, guarantee, or take responsibility for any content, products, or services sold by Creators through the Marketplace. Users transact at their own risk.

6. Subscriptions and Billing

6.1 Subscription Plans

CTopia offers both free and paid subscription tiers. Paid subscriptions provide access to additional features as described at the point of purchase. By subscribing to a paid plan, you authorize us (or our payment processor) to charge your payment method on a recurring basis at the applicable rate.

6.2 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annually, as applicable) unless you cancel before the renewal date. Renewal charges are processed at the rate in effect at the time of renewal. We will provide advance notice of any price changes before they take effect.

6.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@ctopia.co. Cancellation takes effect at the end of the current billing period. You will retain access to paid features through the end of the period for which you have paid. We do not provide prorated refunds for early cancellation unless required by applicable law.

6.4 Free Trials

We may offer free trial periods for paid subscriptions. At the end of a free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. Your payment method will be charged at the applicable subscription rate on the first day following the trial.

6.5 Failed Payments

If a payment fails, we will attempt to re-process the charge. If payment cannot be collected after reasonable attempts, we may downgrade your account to the free tier or suspend your access to paid features until payment is received.

6.6 Taxes

Subscription and marketplace prices may be exclusive of applicable taxes. You are responsible for all taxes associated with your use of the Services, except for taxes on our net income. We will collect and remit taxes where legally required.

7. Intellectual Property

7.1 Our Intellectual Property

All rights, title, and interest in and to the App, including its design, code, features, branding, trademarks, service marks, logos, and any proprietary technology, are and will remain the exclusive property of Creatortopia, Inc. and its licensors. Nothing in these Terms transfers any intellectual property rights to you.

7.2 License to User Content

By uploading, posting, or submitting User Content through the Services, you grant Creatortopia, Inc. a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, perform, modify, and create derivative works from your User Content for the purpose of operating, improving, and promoting the Services. This license does not grant us the right to sell your Content to third parties or use it in ways inconsistent with our Privacy Policy. You retain ownership of your User Content.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose without obligation to you.

7.4 Copyright Infringement — DMCA Policy

We respect intellectual property rights. If you believe your copyrighted work has been infringed through the Services, you may submit a DMCA takedown notice to us at support@ctopia.co with "DMCA Notice" in the subject line. Your notice must include: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and its location; (c) your contact information; (d) a statement of good faith belief; (e) a statement of accuracy under penalty of perjury; and (f) your electronic or physical signature. We will respond to valid DMCA notices in accordance with applicable law and will terminate accounts of repeat infringers.

8. Artificial Intelligence Features

8.1 Use of AI Tools

The CTopia App offers features powered by artificial intelligence and machine learning, including tools for content creation, analysis, recommendations, and automation. These features are provided "as is" and may produce outputs that are inaccurate, biased, or incomplete.

8.2 User Responsibility for AI Outputs

You are solely responsible for reviewing, verifying, and taking responsibility for any AI-generated content you use, publish, or distribute through the Services. You agree not to use AI features to generate content that violates these Terms, including content that is defamatory, discriminatory, infringing, or illegal.

8.3 AI and Intellectual Property

You represent that you have the necessary rights to submit any content to our AI features for processing. We do not guarantee ownership or originality of AI-generated outputs, and you acknowledge that similar outputs may be generated for other users. You should not rely on AI-generated outputs for legal, financial, medical, or other professional advice.

8.4 No Liability for AI Output

To the maximum extent permitted by law, Creatortopia, Inc. is not liable for any harm, loss, or damages arising from your use of or reliance on AI-generated content, outputs, or recommendations through the Services.

9. Third-Party Services and Integrations

The App integrates with or links to third-party services, including third-party login providers (e.g., Google, Apple), analytics tools, payment processors, and social media platforms. Your use of these third-party services is subject to their own terms of service and privacy policies. We are not responsible for the content, policies, or practices of any third-party services. By connecting third-party accounts to your CTopia profile, you authorize us to access and use information from those accounts as described in our Privacy Policy.

10. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy. Please review our Privacy Policy carefully before using the Services.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (C) ANY ERRORS IN THE SERVICES WILL BE CORRECTED; OR (D) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE EXPRESSLY DISCLAIM ALL LIABILITY FOR THE ACTIONS OR CONTENT OF ANY CREATOR, USER, OR THIRD PARTY ON THE PLATFORM. WE DO NOT ENDORSE ANY USER CONTENT AND ARE NOT RESPONSIBLE FOR ANY CONTENT THAT VIOLATES THESE TERMS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CREATORTOPIA, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, OR COMPUTER DAMAGE, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless Creatortopia, Inc., its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your infringement of any third-party rights. We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You may not settle any claim without our prior written consent.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us at support@ctopia.co to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.

14.2 Binding Arbitration

If informal resolution fails, you and Creatortopia, Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration on an individual basis, except for claims that may be brought in small claims court. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in New York, NY, or, at your election, by videoconference. YOU AND CREATORTOPIA, INC. EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS. ANY ARBITRATION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY.

14.3 Exceptions

Notwithstanding the arbitration agreement above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property rights or to prevent irreparable harm.

14.4 Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law provisions. For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

15. Account Suspension and Termination

15.1 Termination by You

You may close your account at any time by going to your account settings or contacting us at support@ctopia.co. Closing your account does not entitle you to a refund of any subscription fees paid for the current billing period.

15.2 Termination or Suspension by Us

We reserve the right to suspend or terminate your account and access to the Services, with or without notice, at our sole discretion, if we believe: You have violated these Terms or any of our policies; Your account has been involved in fraudulent or illegal activity; Your use of the Services poses a risk to other users, third parties, or us; Required by law or court order; Your account has been inactive for an extended period.

15.3 Effect of Termination

Upon termination, your license to use the Services immediately ceases. We may delete your account and User Content, subject to our data retention obligations. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution — will survive termination.

16. Modifications to the Services and Terms

16.1 Changes to the Services

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

16.2 Changes to These Terms

We may revise these Terms at any time. When we make material changes, we will notify you via email, in-app notification, or by posting the updated Terms with a new effective date. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms. If you disagree with changes to the Terms, your sole remedy is to stop using the Services and close your account.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements or policies incorporated by reference, constitute the entire agreement between you and Creatortopia, Inc. regarding the Services and supersede all prior agreements, understandings, and negotiations.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Creatortopia, Inc.

17.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction. These Terms will be binding upon and inure to the benefit of the parties and their permitted successors and assigns.

17.5 Force Majeure

We will not be liable for any delay or failure to perform resulting from circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, power or network outages, pandemics, or other similar events.

17.6 No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any third party.

17.7 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.
